Welcome to [sonarly.com](/content/site-root.html) (the " **Site**"), owned and operated by Sonarly, Inc. (" **Sonarly**", " **we**", or " **us**"). By using the Site or our AI-powered error and incident analysis platform (the " **Service**"), you agree to these Terms of Service (the " **Terms**"). If you do not agree, you may not use the Site or Service.

Sonarly may modify the Site, Service, and/or these Terms from time to time. If we make material changes, we will post the revised Terms and updated effective date on this Site and/or notify you by other means. Your continued use of the Service following any modifications constitutes acceptance of the modified Terms.

## 1. Eligibility and Use of the Service

You must be at least 18 years old to use our Service. You will comply with all applicable laws, rules, and regulations in connection with your use of the Service. You will not:

- Violate or attempt to violate the security of the Service or Sonarly's systems, including accessing data not intended for you, or gaining unauthorized access to any account, server, or computer system
- Attempt to probe, scan, or test the vulnerability of the Service or breach security or authentication measures
- Interfere with the function of the Service, its hosts, or networks
- Crawl, scrape, or spider any portion of the Site or Service through manual or automated means
- Use the Service to process data you do not have the right to access or analyze
- Reverse engineer, decompile, or disassemble any part of the Service

## 2. Account Registration

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You may authenticate via email/password, GitHub, GitLab, or Google OAuth. When you connect third-party accounts, you authorize Sonarly to access the data necessary to provide the Service as described in our [Privacy Policy](/content/privacy/index.html).

## 3. The Service

Sonarly provides an AI-powered platform that connects to your error tracking, observability, and source code management tools to automatically analyze production errors and incidents, identify root causes, and suggest or create code fixes. The Service includes:

- **Error and Incident Analysis:** AI-powered root cause analysis of errors imported from Sentry and incidents received via webhooks from Datadog, Grafana, GCP, SigNoz, Better Stack, and other supported platforms
- **Code Fix Generation:** Automated creation of branches and pull requests with suggested fixes to your connected GitHub or GitLab repositories
- **Notifications:** Analysis results delivered to your connected Slack, Discord, or Linear workspaces
- **Observability Querying:** AI agents that query your connected observability platforms during investigations using your provided credentials

## 4. Your Data and Integrations

### Code Access

When you connect a GitHub or GitLab account, Sonarly accesses your repositories in read-only mode for analysis purposes. Write access is used solely to create branches and pull requests with suggested fixes. Sonarly does not modify your existing code, branches, or repository settings.

### Credentials

You are responsible for the credentials and API keys you provide to Sonarly for third-party integrations. All credentials are encrypted at rest. You may revoke access at any time by disconnecting the integration from your Sonarly account.

### Your Responsibility

You are responsible for ensuring that you have the right to connect your organization's tools and repositories to Sonarly. You represent and warrant that you have the necessary authorization from your organization to grant Sonarly access to the data processed through the Service.

## 5. AI-Generated Content

The Service uses artificial intelligence to generate analyses, root cause explanations, and code fixes. You acknowledge that:

- AI-generated content may contain errors, inaccuracies, or incomplete information
- All code suggestions and pull requests should be reviewed by a qualified engineer before merging
- Sonarly does not guarantee the correctness, completeness, or suitability of any AI-generated analysis or code fix
- You are solely responsible for any code merged into your repositories, regardless of whether it was suggested by Sonarly

## 6. Subscription and Payment

Certain features of the Service may require a paid subscription. Pricing, billing cycles, and plan details are presented during signup and in your account settings. By subscribing to a paid plan, you agree to pay the applicable fees.

We may offer a free trial period. At the end of the trial, your subscription will begin automatically unless you cancel before the trial expires.

## 7. Privacy

## 8. Intellectual Property

The Site and Service, including all content, text, images, code, and functionality, are the property of Sonarly or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Sonarly grants you a limited, personal, non-exclusive, non-transferable license to access and use the Site and Service for your internal business purposes. Sonarly reserves all rights not expressly granted herein.

You may not download, copy, reproduce, modify, distribute, or create derivative works from any part of the Site or Service without our prior written consent.

### Your Content

You retain all ownership rights to your source code, error data, and other content you provide to or connect with the Service. By using the Service, you grant Sonarly a limited license to access, process, and analyze your content solely to provide the Service.

## 9. Third-Party Links and Services

The Service may integrate with or contain links to third-party services (GitHub, GitLab, Sentry, Datadog, Slack, etc.). These third-party services are not controlled by Sonarly, and we are not responsible for their content, privacy practices, or availability. Use of third-party services is subject to their own terms and policies.

## 10. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, AI-GENERATED ANALYSES, CODE SUGGESTIONS, AND FUNCTIONALITY, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

SONARLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. NO ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

## 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONARLY AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS (THE " **SONARLY PARTIES**") WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

- Damages arising from AI-generated code that is merged into your codebase
- Damages arising from incorrect or incomplete root cause analyses
- Damages arising from service interruptions, data loss, or unauthorized access
- Loss of profits, data, goodwill, or other intangible losses

IN NO EVENT WILL THE TOTAL LIABILITY OF THE SONARLY PARTIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNTS YOU HAVE PAID TO SONARLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100.00, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless the Sonarly Parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any code or content you merge into your repositories based on Sonarly's suggestions.

## 13. Termination

You may terminate your account at any time by contacting us at [alexandre@sonarly.com](mailto:alexandre@sonarly.com). Sonarly may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and dispute resolution.

## 14. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in San Francisco County, California, in accordance with the rules of JAMS, by one commercial arbitrator with substantial experience in technology and commercial contract disputes.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction. For all purposes, you consent to exclusive jurisdiction and venue in the state or federal courts located in San Francisco County, California, or the Northern District of California.

**BY AGREEING TO THESE TERMS, YOU AND SONARLY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY.**

## 15. General Provisions

- **Assignment:** You may not assign these Terms or transfer any rights without Sonarly's prior written consent. Sonarly may assign these Terms without restriction.
- **Severability:** If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- **Entire Agreement:** These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sonarly regarding the Service.
- **Waiver:** Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
